42 CFR 1001.952(d) - all seven must be satisfied for the personal services and management contract safe harbor.

The agreement is in writing and signed by the parties.
Handshake deals fail at audit. Get it on paper, signed.

The agreement covers all of the services the agent provides.
No off-contract side work. Every service the agent renders must be inside the four corners.

The aggregate services contracted for do not exceed those reasonably necessary to accomplish the legitimate business purpose.
Right-size the scope. "Just in case" hours invite the inducement inference.

The term of the agreement is for at least one year.
Month-to-month physician arrangements are a red flag. Lock the year.

The aggregate compensation paid over the term is set in advance.
